Terms and Conditions

1. Introduction

These Terms and Conditions ("Terms") govern your access to and use of CountriesDB (the "Service"), operated by NAYEE LLC, a limited liability company registered in Wyoming, United States, with its registered office at 30 N Gould St, Suite R, Sheridan, WY 82801 ("Company", "we", "us", or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use CountriesDB or any of its related APIs, widgets, or tools.

These Terms should be read alongside our Privacy Policy, Cookie Policy, and Refund Policy.

2. Description of Service

CountriesDB provides software-as-a-service (“SaaS”) tools that enable users to integrate country and subdivision data into their web or mobile applications.
The Service includes:

  • Embeddable front-end widgets for country/subdivision selection;

  • A backend API for validation, localization, and structured data retrieval;

  • Developer dashboards, documentation, and usage analytics.

Access is subscription-based. A free plan (“DevMode”) is available with limited functionality for testing and evaluation.

3. Account Registration

To use the Service, you must create an account. You agree to:

  • Provide accurate and complete information;

  • Maintain the security of your account credentials;

  • Accept responsibility for all activities under your account.

We reserve the right to suspend or terminate accounts found to violate these Terms or used in a fraudulent or abusive manner.

4. Subscriptions and Billing

Paid subscriptions are billed in advance on a recurring basis (monthly or annually, as selected).
By subscribing, you authorize us to charge your chosen payment method automatically.

Usage of the API may be metered. If your requests exceed plan limits, you agree that additional charges may apply according to the pricing published on countriesdb.com/#pricing.

You may cancel your subscription anytime through your account dashboard. Upon cancellation, access continues until the end of the billing period.

All fees are stated exclusive of taxes unless otherwise indicated.

5. Acceptable Use

You agree not to:

  1. Reverse engineer, decompile, or otherwise attempt to extract or replicate any part of our front-end widgets, scripts, or APIs;

  2. Use or share public API keys in a manner that allows unauthorized or excessive access by third parties;

  3. Circumvent usage limits, authentication, or metering mechanisms;

  4. Reproduce, resell, or distribute any CountriesDB data or components without written permission;

  5. Use the Service in any unlawful or abusive manner or to infringe any third-party rights;

  6. Exceed the domain or language limits applicable to your selected plan (as shown on the Pricing page).

    • Plans require you to specify the domains authorized to use your API key.
    • Use from any other domain or language configuration may be considered unauthorized and may trigger automated protection measures.

Detected misuse, including unauthorized API calls, scraping, or deliberate attempts to bypass restrictions, may lead to immediate suspension or termination of access without refund.

We reserve the right to pursue legal action and claim damages against any individual or entity engaged in abuse, data theft, or reverse engineering of our Service.

6. Intellectual Property

All content, software, design elements, and code made available through CountriesDB are the intellectual property of NAYEE LLC or its licensors.
Your subscription grants a non-exclusive, non-transferable, revocable license to use the Service within the limits of your chosen plan.

No ownership or intellectual property rights are transferred to you.

7. Data Accuracy and Availability

We strive to maintain accurate and up-to-date country and subdivision information. However, the Service is provided “as is”, and we do not guarantee uninterrupted availability or absolute accuracy of data.

You acknowledge that updates, corrections, or interruptions may occur without prior notice.

8. Security and Abuse Protection

We implement security measures to protect our systems and clients from abuse.
If we detect unusual or excessive API traffic originating from your account or related domains, we may:

  • Limit or temporarily block API access;

  • Revoke compromised keys;

  • Contact you to investigate or confirm legitimate use.

If another party fraudulently uses your public API key (e.g., via front-end code exposure), please contact us using our contact form. Verified unauthorized charges may be reverted or credited at our discretion.

9. Refunds

Refunds are handled under our separate Refund Policy.
In general, subscription fees are non-refundable except where required by law or when misuse of the API by third parties is verified.

10. Termination

We may suspend or terminate your account if you:

  • Violate these Terms;

  • Engage in abuse, fraud, or illegal activities;

  • Fail to pay subscription fees.

Upon termination, your license to use the Service ceases immediately, and your stored data may be deleted after a reasonable retention period.

11. Limitation of Liability

To the maximum extent permitted by law:

  • NAYEE LLC shall not be liable for any indirect, incidental, consequential, or special damages, including but not limited to lost profits, lost revenue, business interruption, or loss of data;

  • Our total aggregate liability for any claim arising from or related to the Service, including but not limited to service unavailability, data inaccuracy, API failures, widget malfunctions, or any other service disruption, shall not exceed the amount paid by you for your monthly subscription in the month during which the claim arose;

  • Service Availability and Fallback Requirements: You acknowledge that the Service may experience downtime, interruptions, or failures. You agree that it is your responsibility to implement appropriate fallback scenarios in your application, including but not limited to:

    • Gracefully degrading functionality when API calls fail;
    • Using alternative data sources or validation methods as backup;

  • NAYEE LLC shall not be liable for any business losses, lost transactions, or damages claimed to result from the unavailability of the Service, widget failures, or inability to select countries/subdivisions, regardless of whether such losses were foreseeable or not. You agree that any such claims are waived, and your sole remedy for service issues is limited to the monthly subscription amount as specified above.

12. Indemnification

You agree to indemnify and hold harmless NAYEE LLC and its affiliates from any claims, damages, or expenses arising from:

  • Your use or misuse of the Service;

  • Violation of these Terms or applicable law;

  • Any third-party claim related to your content or integration.

13. Changes to Terms

We may update these Terms from time to time. Updates will be posted on countriesdb.com/terms.
Continued use after such changes constitutes acceptance of the revised Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law principles.

Any disputes shall be resolved exclusively in the courts of Sheridan County, Wyoming, USA.
